1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and CJ Smart Finance ("Company", "we", "us", or "our"). By creating an account, browsing our website, accessing AI insights, subscribing to Pro tiers, or using any associated services, you agree that you have read, understood, and accept these Terms in full.

If you do not agree to all of these Terms, you are expressly prohibited from using the platform and must discontinue access immediately.

3. Investment Risk Disclosure

Trading equities, debt securities, derivatives, and other financial instruments involves substantial financial risk:

• Risk of Capital Loss: You may lose some or all of the money you invest. Never invest capital that you cannot afford to lose.
• No Guarantee of Future Performance: Past market performance, historical returns, backtests, and AI model predictions do not guarantee future results.
• Independent Due Diligence: You are solely responsible for conducting independent due diligence and consulting with a certified, licensed financial planner or broker prior to executing trades.

To register an account on CJ Smart Finance:

• You must be at least 18 years of age and possess the legal capacity to enter into binding agreements.
• You agree to provide true, accurate, current, and complete registration information.
• You are solely responsible for maintaining the confidentiality of your credentials and password. Any actions taken through your account are your sole legal responsibility.
• You must immediately notify us at support@cjsmartfinance.com of any unauthorized access or security breach.

All software code, user interface designs, logos, graphics, text, AI models, algorithmic logic, and educational ebooks displayed on or generated by CJ Smart Finance are the exclusive intellectual property of CJ Smart Finance and its licensors:

• You receive a personal, revocable, non-exclusive, non-transferable license to access the platform solely for your personal, non-commercial use.
• You may not copy, reproduce, republish, mirror, broadcast, sell, syndicate, or redistribute any of our proprietary AI signals, market reports, or ebooks without prior written authorization from CJ Smart Finance.

When participating in our community forums or sharing comments, you agree to maintain a respectful, constructive dialogue. Do not post illegal, defamatory, abusive, fraudulent, or market-manipulative content (such as "pump and dump" schemes). We reserve the right to remove any content or suspend forum privileges for violations of community safety guidelines.

9. Market Data Feeds & Third Parties

NSE stock prices, volume data, corporate actions, and financial indices are sourced from market feeds and public disclosures. While we make diligent efforts to maintain real-time accuracy and reliability, market feeds may experience delays, inaccuracies, or transmission interruptions. CJ Smart Finance assumes no liability for losses arising from pricing lags or third-party data errors.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMISSIBLE BY LAW, CJ SMART FINANCE, ITS FOUNDERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF TRADING PROFITS, CAPITAL LOSSES, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE PLATFORM.

OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT ACTUALLY PAID BY YOU TO CJ SMART FINANCE IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless CJ Smart Finance, its officers, directors, contractors, and agents against any claims, damages, liabilities, losses, costs, and expenses (including legal fees) arising from: (a) your use or misuse of the platform; (b) your violation of these Terms; (c) any investment trades or decisions you make; or (d) your infringement of any third-party rights.

12. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the Laws of the Republic of Kenya, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms shall first be resolved through good-faith informal negotiations between the parties. If unresolved within 30 days, the dispute shall be referred to and finally resolved by arbitration in Nairobi under the rules of the Chartered Institute of Arbitrators (Kenya Branch), or before the competent courts of Kenya.
